Welcome to FireLoop. These Terms of Use ("Terms") govern your access to and use of the FireLoop website, platform, and related services (collectively, the "Service"). By creating an account, uploading content, downloading samples, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must stop using the Service immediately.
Please read these Terms carefully. They contain important information about your rights and obligations, as well as limitations and exclusions that may apply to you.
1. Definitions
- "FireLoop", "we", "us", or "our" refers to the FireLoop platform and its operators.
- "User", "you", or "your" refers to any person who accesses or uses the Service, whether registered or not.
- "Content" refers to any audio files, samples, loops, metadata, text, images, or other materials uploaded to or made available through the Service.
- "User Content" refers to Content uploaded, submitted, or published by users of the Service.
- "Derivative Works" refers to any new or modified musical composition, sound recording, or other work that incorporates User Content.
2. Eligibility
You must be at least 16 years old to create an account and use the Service. Users under 18 must have parental or guardian consent.
3. Account Registration and Security
To access features like uploading or downloading, you must create an account. You agree to:
- Provide accurate, current, and complete information.
- Keep login credentials confidential.
- Notify FireLoop of unauthorized access.
- Accept responsibility for all account activity.
We may suspend or terminate accounts for inaccuracy or violations.
4. User Content and Conduct
You are solely responsible for Content you upload. By submitting User Content, you represent and warrant that:
- You are the original creator or have obtained all rights to upload and distribute it.
- Content does not infringe third-party rights.
- Content is lawful, not defamatory, obscene, threatening, or harmful.
- Content does not contain malware, viruses, or harmful code.
FireLoop may remove Content that violates Terms, at its discretion, without notice.
5. Licence Granted to FireLoop
By uploading User Content, you grant FireLoop a non-exclusive, worldwide, royalty-free, sublicensable licence to:
- host, store, reproduce, distribute, display, and commercially exploit your Content,
- on FireLoop or other platforms if required for operating, promoting, or developing the Service.
This licence does not transfer ownership; you retain all intellectual property rights.
6. Licence Granted to Users (Sample Licence)
Downloading samples or loops grants you a non-exclusive, royalty-free licence to:
- remix, modify, or adapt the sample
- integrate it into your own musical works
- use derivative works commercially or non-commercially, unless restricted (see below)
Special Rules
- Acapellas may be restricted to non-commercial use unless the uploader explicitly allows commercial use.
- Users waive moral rights for Content use and derivative works.
- Loops can be used in perpetuity even if removed from FireLoop.
- If you register a derivative work with a content-identification system (e.g., YouTube Content ID), you cannot file strikes or takedowns against other users using the same loop.
Prohibited Uses
- Redistributing raw, unmodified samples as standalone files
- Including raw samples in sample packs or libraries
- Claiming ownership of the original sample
Crediting the original creator is appreciated but not required unless stated.
7. Prohibited Activities
Users may not:
- Use FireLoop for illegal purposes
- Upload copyrighted material without permission
- Attempt unauthorized access to accounts or infrastructure
- Use bots, scrapers, or automated tools without permission
- Interfere with Service operations
- Harass or harm other users
- Circumvent technical restrictions
8. Subscription Plans and Payments
FireLoop offers both free and paid subscription plans. Details of available plans, pricing, and features are described on our Pricing page. By subscribing to a paid plan, you agree to the following:
Payment Processing
- Payments are securely processed through Stripe. FireLoop does not store your payment card details.
- Prices are displayed in Swiss Francs (CHF) and include applicable Swiss VAT where required. International users may be subject to local taxes according to their jurisdiction.
Free Trials
- If a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial expires.
- FireLoop will clearly indicate the date on which your trial will end and the amount to be charged if not canceled.
Renewals and Automatic Billing
- Paid subscriptions automatically renew at the end of each billing period.
- Users will be notified in advance of the renewal and the amount to be charged.
- You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds will be provided for the ongoing period.
Cancellation and Termination
- Users may cancel their subscription via their account settings or by contacting FireLoop support.
- Upon cancellation, your account will retain access until the end of the current billing period.
- FireLoop may suspend or terminate accounts at its discretion for violations of these Terms or misuse of the Service.
Refunds
- FireLoop generally does not offer refunds for paid subscriptions, except where required by applicable law.
- For Swiss users, a consumer has the right to a 14-day withdrawal period for digital services purchased online, starting from the date of payment, unless the service has already been fully delivered with user consent.
Consumer Protection and Compliance
- FireLoop complies with the Swiss Federal Act on Consumer Protection (LPC) and applicable international consumer laws.
- All users must have access to clear information about pricing, renewal, and cancellation procedures.
- Any clauses that prevent fair cancellation, withdrawal, or refund may be considered void under consumer protection law.
International Users
- Users outside Switzerland may be subject to additional laws regarding subscriptions, automatic renewal, and digital services.
- It is your responsibility to ensure compliance with your local laws when subscribing to FireLoop.
9. Advertising and Third-Party Services
FireLoop may display ads or links to third-party sites. We are not responsible for content, privacy, or availability on these external sites.
10. Intellectual Property
All FireLoop platform elements are owned by FireLoop or licensors. You may not copy, reproduce, modify, or distribute platform elements without permission.
11. Disclaimer of Warranties
The Service is provided "as is" without warranties. FireLoop does not guarantee uninterrupted service or virus-free content.
12. Limitation of Liability
FireLoop and its operators shall not be liable for indirect, incidental, consequential, or special damages.
Maximum liability for any claim is 1 CHF.
13. Representations, Warranties, and Indemnification
You warrant that:
- All Content you upload is original or properly licensed.
- You will not infringe third-party rights.
- You will comply with these Terms.
You agree to indemnify FireLoop against claims, damages, or costs arising from:
- Your use of the Service
- Your User Content
- Violation of Terms
14. Termination
Accounts may be deleted by users or suspended by FireLoop for violations. Content removal typically occurs within 30 days, but derivative works may persist.
Termination does not affect perpetual rights granted for loops.
15. Acknowledgment of Rights
Users acknowledge:
- They only have the rights expressly granted under Terms.
- Derivative Works may coexist with other users' works using the same Content.
- Users may not assert Content-ID or other claims against works using the same loops.
16. Governing Law and Dispute Resolution
These Terms are governed by Swiss law. Disputes are resolved by Geneva courts. Users must first attempt informal resolution within 30 days.
17. Severability
Invalid provisions do not affect the validity of remaining Terms.
18. Changes to Terms
FireLoop may update Terms at any time. Continued use after updates constitutes acceptance.
